These Terms of Use ("Terms") govern your access to and use of flatroofllc.com (the "Site") and any information, materials, or services described on it. The Site is operated by Flat Roof LLC ("Flat Roof," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Acceptance of These Terms
Your access to and use of the Site is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Site. By using the Site you represent that you are of legal age to form a binding contract with Flat Roof.
2. Services and Information
Flat Roof provides commercial and residential roofing inspection, maintenance, repair, and installation services in the States of Oregon and Washington. Information presented on the Site, including descriptions of services, pricing references, response times, and availability, is provided for general informational purposes only. Nothing on the Site constitutes a binding quote, proposal, contract, or guarantee of work until confirmed in writing by Flat Roof.
3. Permitted Use of the Site
You agree to use the Site solely for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. You may not, without our prior written permission: (a) attempt to gain unauthorized access to any portion of the Site, any related systems or networks, or any data therein; (b) transmit any viruses, worms, malware, or other malicious code; (c) use the Site to send unsolicited or unauthorized communications; or (d) impersonate any person or misrepresent your affiliation with any person or entity.
4. Inspection Requests and Communications
By submitting your contact information through the Site, you authorize Flat Roof to contact you by phone, email, or SMS regarding your inquiry and any related services. Any estimate, quote, or appointment shown, discussed, or scheduled prior to an on-site inspection is preliminary and non-binding; the scope, price, and timing of work are determined and confirmed only after on-site inspection and written confirmation. Submitting an inspection request does not obligate you to purchase any service from Flat Roof and does not obligate Flat Roof to perform work unless and until both parties confirm the work in writing.
Appointment availability is subject to scheduling, weather, and other site conditions. Flat Roof is not liable for delays caused by circumstances beyond its reasonable control, including weather, supply chain disruptions, or third-party dependencies.
5. Separate Service Agreements
These Terms govern use of the Site. They do not replace any written estimate, proposal, work order, construction contract, warranty, change order, invoice, financing document, or other service-specific agreement issued or signed in connection with roofing work. If Flat Roof performs work for you, the scope of work, materials, price, payment terms, schedule, warranty terms, required notices, lien notices, cancellation rights, permits, and other project-specific terms will be governed by the applicable written service documents and by applicable Oregon or Washington law.
6. User Submissions
If you submit property information, roof details, photographs, videos, messages, documents, or other materials through the Site or in connection with an inquiry, you represent that you have the right to provide those materials and that the information you provide is accurate to the best of your knowledge. You grant Flat Roof a limited right to use, reproduce, review, store, transmit, and share those materials as reasonably necessary to respond to your inquiry, evaluate the property or project, prepare estimates or service recommendations, provide services, maintain business records, and comply with legal obligations.
You may not submit materials that are unlawful, false, misleading, infringing, confidential to another person, or harmful to the Site or any related system. Flat Roof is not responsible for the accuracy, completeness, or legality of materials submitted by Site users.
7. SMS and Email Communications
By submitting your mobile telephone number through the Site, you consent to receive SMS text messages from Flat Roof related to service confirmations, appointment reminders, and project updates. Message and data rates may apply. Message frequency varies. Consent to receive these messages is not a condition of any purchase. You may opt out of SMS messaging at any time by replying STOP to any message from us, or by contacting us at the address below. For help, reply HELP. Marketing SMS messages, if any, will be sent only where you have separately consented or where otherwise permitted by applicable law. Commercial email messages from Flat Roof will include any notices and opt-out mechanisms required by applicable law.
8. Ownership and Intellectual Property
The Site and all content available on it — including text, photographs, graphics, illustrations, logos, designs, audio, video, and the organization, selection, and arrangement of that content — are owned by Flat Roof or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms, no portion of the Site or its content may be reproduced, distributed, modified, transmitted, publicly displayed, or used to create derivative works without the prior written consent of Flat Roof.
9. Third-Party Services
The Site may integrate or link to services, platforms, or content operated by third parties, including third-party scheduling, messaging, payment, analytics, and cloud-hosting providers. Flat Roof does not control and is not responsible for the availability, content, privacy practices, security, or performance of any third-party service. Your use of any third-party service is subject to that third party's own terms and policies.
10. Privacy
Flat Roof's collection, use, sharing, retention, and protection of personal information is described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference. If these Terms and the Privacy Policy address the same subject differently, the Privacy Policy controls with respect to personal information.
11. Disclaimer of Warranties and Limitation of Liability
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Flat Roof disclaims all warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Flat Roof does not warrant that the Site will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Flat Roof, its affiliates, and its and their respective officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of the Site.
12. Indemnification
You agree to defend, indemnify, and hold harmless Flat Roof and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any applicable law or the rights of any third party.
13. Changes to These Terms
Flat Roof may modify these Terms at any time by posting the revised Terms on the Site and updating the "Effective" date above. Your continued use of the Site after a revision takes effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
14. Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to these Terms or your use of the Site, are governed by the laws of the State of Washington, without regard to its conflict of law principles. Any services Flat Roof performs in Oregon are also subject to applicable Oregon regulations. You agree that any action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Clark County, Washington, and you consent to the personal jurisdiction of those courts.
